Sustainability Governance Model

Why it matters

Our sustainability governance model ensures that environmental, social and economic goals are fully aligned with our operational strategy. It creates accountability by clearly defining roles, responsibilities and decision-making structures.

The model helps us reduce and manage risks related to climate change, social inclusion, regulations and stakeholder expectations. It also supports transparent reporting and compliance with ESG standards and frameworks. Most importantly, it integrates sustainability into the core of our business operations and culture, helping both us and our customers meet responsibility commitments, particularly in reducing carbon footprints.

Our Sustainability Governance Model

Level 1 – Board of Directors

Members: CEO & Chairman, Investor (# 2)
Accountable for sustainability-related disclosures and KPIs
Reviews sustainability progress at least once a year

Level 2 – Sustainability Steerco

Sustainability Steerco involves all Excom members: CEO, CFO, CHRO, COO, CCO, CC&MO, BU Director(s), Legal & Compliance, Sustainability manager.
Responsible, monitors progress of sustainability projects and KPIs , Targets
Provides topics for the Sustainability Training Academy
Meets at least once per month
Group sustainability policies , KPI’s & Targets will be approved by the Excom.

Level 3 – Sustainability Projects

A project manager is appointed for each sustainability project
If the project manager is not part of the Steerco, a project sponsor (from the Steerco) is assigned
Responsible for project progress, deliverables and objectives
Regular steering committee meetings, per project

Level 4 – Sustainability Meetings

Coördinator: Group Sustainability Manager
Sustainability related topics will be presented to the Excom.
Individual meetings with local sites and functional leaders for projects, actions and KPI follow-up
Sustainability Academy : Regular training sessions on Environmental, Social, Ethical and Governance aspects for all members (Levels 1-4)
